Terms of Service
The foundational agreement governing membership, platform usage, equity participation, and milestone escrow operations.
Version v3.2•Last Updated: October 2026•Official Policy
Strict Equity-Only Crowdfunding Mandate
Notice to all platform participants: Fundigoo operates strictly on an Equity Crowdfunding model. Investors deploy capital exclusively in exchange for direct company equity (ordinary shares, preferred shares, or standardized equity SAFE instruments). Fundigoo does not offer, broker, or permit debt financing, loan agreements, interest-bearing notes, peer-to-peer lending, or debt securities of any kind.
11. Acceptance of Terms & Platform Mandate
Welcome to Fundigoo ("the Platform", "we", "us", or "our"). By registering, browsing, backing an innovation venture, or submitting a campaign, you agree to comply with and be bound by these Terms of Service.
Fundigoo operates strictly as an Equity Crowdfunding Infrastructure and Startup Acceleration Hub. We connect high-growth enterprises with certified angel investors and public backers.
IMPORTANT FINANCIAL NOTICE: All capital deployed through Fundigoo is exchanged exclusively for company equity (common equity, preferred shares, or equity SAFE instruments). Fundigoo does not provide, facilitate, broker, or permit debt financing, personal loans, interest-bearing notes, peer-to-peer lending, or any debt-based financial products.
22. Identity Verification & eKYC Immutability
To ensure regulatory compliance and institutional investor safety, all users (Investors, Entrepreneurs, and Accelerator Partners) must submit verified Government-issued identity credentials (National ID / Passport / Trade License).
Once an account has completed eKYC verification and has been approved by the Compliance Board:
- The verified identity, full legal name, national registration number, and corporate identity become permanently locked and immutable.
- Users cannot unilaterally alter their verified legal identity.
- Any legitimate change (such as official court-certified name changes or corporate mergers) requires submission of original notarized documentation to the Compliance Board for manual re-verification.
33. Smart Milestone Escrow Protocol
All investor funds are deposited directly into designated milestone-governed escrow accounts maintained through licensed banking institutions and PayStation secure payment infrastructure. Funds do not pass directly into the founder's personal custody.
Capital is released to campaign creators in predetermined milestone tranches only upon verified submission and admin audit of agreed performance deliverables. If a campaign fails to reach its minimum required funding goal within the deadline, all investor capital is returned via our Fund Back Policy.
44. Equity Issuance & Shareholder Rights
When a campaign closes successfully and reaches completion, the enterprise is legally obligated under company law to issue corresponding equity share certificates or execute a legally binding Share Subscription Agreement in favor of the investor. Investors obtain direct ownership equity proportional to their validated contribution. Investors carry no debt creditor rights.
55. Prohibited Activities & Account Termination
Users are strictly prohibited from:
- Misrepresenting financial traction, revenue figures, intellectual property, or team credentials.
- Attempting off-platform escrow bypass or private unvetted solicitation.
- Engaging in money laundering, fraudulent chargebacks, or structured illicit transfers.
- Offering debt instruments or promising guaranteed fixed percentage interest returns.
Violations result in immediate account suspension, forfeiture of access, and referral to state enforcement agencies.
Officially ratified and published by Fundigoo Compliance & Legal Directorate.
